SECTION 21 - SUBSCRIPTION TERMS AND AUTO-RENEWAL

21.1 Subscription Service Overview

Lumairenova offers a subscription service ("Subscribe & Save") that allows customers to receive automatic recurring shipments of our products at a discounted rate. By selecting the subscription option during checkout, you are enrolling in our automatic subscription program.

21.2 Subscription Enrollment and Agreement

IMPORTANT: The subscription option may be pre-selected (pre-ticked) at checkout. By completing your purchase with the subscription option selected, you expressly authorize and consent to:

(a) Automatic recurring charges to your payment method on file.

(b) Automatic recurring shipments of the subscribed product(s) at the frequency selected (typically monthly).

(d) Receiving marketing and transactional emails related to your subscription.

It is your responsibility to review your cart and order summary before completing checkout. If you do not wish to subscribe, you must uncheck/deselect the subscription option before completing your purchase.

By completing checkout with the subscription option selected, you acknowledge that your subscription has recurring product and payment features and you accept responsibility for all recurring charges until you cancel your subscription.

21.3 How Subscriptions Work

Initial Order: Your first order will be processed and shipped according to our standard processing and shipping times (3-5 business days processing + 8 business days shipping).

Recurring Orders: Approximately 30 days (one month) after your initial order date, a new order will be automatically generated, your payment method will be charged, and a new shipment will be prepared and sent to you.

Subscription Frequency: Subscriptions recur monthly (approximately every 30 days) from your initial order date unless you cancel.

Automatic Billing: Your payment method on file will be automatically charged for each recurring order. You are responsible for ensuring your payment information remains current and valid.

Billing Date: You will be charged on or around the same day each month as your original order date. The exact date may vary slightly due to differences in month lengths.

21.4 Subscription Pricing and Discounts

Discount Rate: Subscription orders receive a 10% discount off the regular retail price.

Price Changes: We reserve the right to change subscription pricing at any time. You will be notified of any price changes via email at least 7 days before your next billing date. Continued use of the subscription service after receiving notice of a price change constitutes acceptance of the new price.

Discount Eligibility: The subscription discount applies only to the subscribed product(s). Other promotions, discounts, or coupon codes may not be combined with subscription discounts unless explicitly stated.

21.5 Payment Authorization

By subscribing, you authorize Lumairenova to charge your payment method (credit card, debit card, or other payment method on file) for:

(a) Your initial subscription order

(b) All subsequent recurring subscription orders until you cancel

Payment Methods: You must provide a valid payment method with sufficient funds or credit available. If your payment method expires, is declined, or has insufficient funds, we reserve the right to suspend or cancel your subscription.

Failed Payments: If a payment fails, we will attempt to process payment again. If payment continues to fail, your subscription may be automatically cancelled. You are responsible for any fees your bank or card provider may charge for failed payment attempts.

21.6 Subscription Management and Cancellation

Right to Cancel: You have the right to cancel your subscription at any time.

How to Cancel: To cancel your subscription, you must contact us at info@lumairenova.com with your order number and request to cancel. Cancellation requests must be received at least 3 business days before your next scheduled billing date to avoid being charged for the next order.

Cancellation Timing - IMPORTANT:

BEFORE FIRST SHIPMENT: You may cancel your subscription at any time before your first order ships without any obligation. If cancelled before shipment, you will receive a full refund in accordance with our Refund Policy.

AFTER FIRST SHIPMENT: Once your first subscription order has been shipped and paid for, you may cancel future subscription orders, but you cannot obtain a refund for orders that have already been processed, shipped, or delivered.

BEFORE SUBSEQUENT SHIPMENTS: You may cancel your subscription at any time to prevent future orders. To avoid being charged for your next order, you must cancel at least 3 business days before your next billing date.

Cancellation Confirmation: You will receive email confirmation once your subscription has been successfully cancelled. If you do not receive confirmation within 24 hours, contact us immediately to verify cancellation.

No Refunds for Processed Orders: Once an order has been processed and payment has been charged, that specific order is non-refundable under the subscription terms. This applies to both your initial order and all subsequent recurring orders.

21.7 Subscription Modifications

Pause Subscription: We may offer the ability to pause your subscription for a specified period. Contact us at info@lumairenova.com to inquire about pausing your subscription.

Skip a Delivery: You may be able to skip a scheduled delivery by contacting us at least 3 business days before your next billing date.

Change Frequency: We may offer the ability to change your subscription frequency. Contact us to inquire about available options.

Update Payment Method: You are responsible for keeping your payment information up to date. You can update your payment method by contacting us at info@lumairenova.com.

Update Shipping Address: You must notify us of any changes to your shipping address at least 5 business days before your next billing date to ensure your order ships to the correct location.

21.8 Subscription Order Processing and Shipping

Processing: Subscription orders are subject to the same processing times as regular orders (3-5 business days).

Shipping: Subscription orders are shipped using our standard shipping method (approximately 8 business days delivery after processing).

Tracking: You will receive tracking information for each subscription shipment via email.

Shipping Costs: Shipping costs may apply to subscription orders and will be disclosed at the time of subscription enrollment. Shipping costs are subject to change and you will be notified of any changes.

21.9 No Refunds for Subscription Orders

CRITICAL SUBSCRIPTION REFUND POLICY:

(a) Once a subscription order has been processed, charged to your payment method, and shipped, that order is FINAL and NON-REFUNDABLE.

(b) This no-refund policy applies to all subscription orders, including your initial order and all subsequent recurring orders.

- Orders cancelled before the first shipment has been processed
- Products that arrive damaged or defective (subject to our Damaged/Defective Goods policy)
- Orders that were charged due to our error or system malfunction (verified on a case-by-case basis)

(d) "I forgot I was subscribed," "I didn't know I would be charged again," or "I didn't want another order" are NOT valid reasons for refunds once an order has been processed and shipped.

(e) It is your responsibility to manage, monitor, and cancel your subscription if you no longer wish to receive recurring orders.

(f) We will send email reminders before each billing date, but failure to receive or read these emails does not entitle you to a refund.

21.10 Email Notifications and Reminders

Reminder Emails: We will send you email reminders before each subscription renewal. These reminders typically include:

- Notification that your subscription will renew soon
- The date your payment method will be charged
- The amount you will be charged
- Instructions on how to cancel or modify your subscription

Email Delivery: It is your responsibility to ensure that our emails are not blocked by spam filters and that your email address on file is current and accurate.

No Guarantee of Reminders: While we make reasonable efforts to send reminder emails, we do not guarantee that you will receive these emails due to email delivery issues, spam filters, or other technical problems. Failure to receive reminder emails does not relieve you of your subscription obligations or entitle you to refunds.

21.11 Subscription Acknowledgment and Consent

By selecting the subscription option and completing your purchase, you expressly acknowledge, understand, and agree that:

(a) You are enrolling in an automatic recurring billing and shipment program.

(b) You will be charged automatically for each recurring order until you cancel.

(d) Orders that have been processed, charged, and shipped are non-refundable under the subscription terms.

(e) It is your responsibility to monitor your subscription, read reminder emails, and cancel before unwanted charges occur.

(f) The subscription option may be pre-selected at checkout and you are responsible for reviewing your order before completing purchase.

(g) Forgetting about your subscription, not reading emails, or not wanting a product after it ships does not entitle you to a refund.

(h) You have read and understood the subscription cancellation policy and no-refund terms.

21.12 Subscription Termination by Lumairenova

We reserve the right to suspend or terminate your subscription at any time for any reason, including but not limited to:

- Violation of these Terms of Service
- Fraudulent activity or suspected fraud
- Excessive chargebacks or payment disputes
- Repeated failed payments
- Abuse of the subscription service or refund policy
- Any other reason at our sole discretion

If we terminate your subscription, you will not be charged for future orders, but you will not receive refunds for orders already processed and shipped.

21.13 Disputes and Chargebacks

Subscription Disputes: If you have a dispute regarding a subscription charge, you must contact us at info@lumairenova.com BEFORE initiating a chargeback with your bank or credit card company.

Chargeback Policy: Initiating a chargeback for a legitimate subscription charge (an order that was processed and shipped according to these terms) may result in:

- Immediate termination of your subscription
- Your account being banned from future purchases
- Legal action to recover the disputed amount plus associated costs

International customers acknowledge that by purchasing our products, they accept full responsibility for regulatory compliance in their jurisdiction and release Lumairenova from any liability related to regulatory non-compliance, import violations, or jurisdictional requirements.

22.11 Product Liability Insurance and Safety Testing

We maintain appropriate product liability insurance and our Products undergo safety assessments as required by EU cosmetic regulations. However, no amount of testing can predict every individual's reaction, and insurance coverage does not eliminate the risks inherent in using cosmetic products. You use our Products at your own risk regardless of our insurance coverage or safety testing.

SECTION 23 - ENHANCED LIMITATION OF LIABILITY

In addition to the limitations in Section 13, and to the maximum extent permitted by applicable Irish law and EU law, you expressly understand, acknowledge, and agree that Lumairenova, its directors, officers, employees, shareholders, affiliates, partners, agents, contractors, suppliers, manufacturers, distributors, retailers, licensors, and service providers (collectively, the "Lumairenova Parties") shall not be liable for any claims, damages, losses, liabilities, costs, or expenses of any kind whatsoever, including but not limited to:

22.1 Personal Injury and Related Claims

(a) Any personal injury, bodily injury, skin damage, tissue damage, allergic reactions, or adverse effects of any kind arising from use of our Products.

(b) Any medical expenses, healthcare costs, hospitalization, pharmaceutical costs, treatment costs, therapy costs, or any other expenses related to adverse effects.

(c) Pain and suffering, physical discomfort, emotional distress, psychological harm, mental anguish, anxiety, depression, or any other non-economic damages.

(d) Lost wages, lost earning capacity, lost business opportunities, or any economic losses related to injury or adverse reactions.

(e) Permanent scarring, disfigurement, discolouration, or lasting skin damage of any kind.

(f) Worsening of pre-existing conditions or development of new conditions.

(g) Any claim that our Products failed to achieve desired results, were ineffective, or did not meet expectations.

22.2 Product Performance and Safety Claims

(h) Any failure of our Products to achieve desired cosmetic results or improvements.

(i) Any claim that Products were ineffective, unsuitable, or inappropriate for your use.

(j) Any damages arising from your reliance on product descriptions, marketing materials, testimonials, or representations.

(k) Any claim based on individual sensitivity, idiosyncratic reactions, or unpredictable responses to ingredients.

(l) Any claim that we failed to adequately warn of risks (provided warnings were included in packaging/materials).

22.3 Use and Misuse Claims

(m) Any damages arising from your failure to read warnings, instructions, ingredient lists, or contraindications.

(n) Any damages arising from misuse, improper use, overuse, or use contrary to instructions.

(o) Any damages arising from use on broken skin, infected areas, or contraindicated conditions.

(p) Any damages arising from failure to perform a patch test or ignoring adverse reaction signs.

(q) Any damages arising from use past expiration date or improper storage.

(r) Any damages arising from sharing Products or using Products contaminated by third parties.

22.4 Medical and Healthcare Claims

(s) Any damages arising from failure to consult healthcare professionals before use.

(t) Any damages arising from discontinuing medical treatment in favour of our Products.

(u) Any damages arising from interactions between our Products and medications, treatments, or other products.

(v) Any damages arising from following advice or information provided by us instead of seeking medical advice.

22.5 General and Consequential Damages

(w) Any consequential, indirect, special, incidental, exemplary, or punitive damages of any kind.

(x) Any damages for loss of data, loss of privacy, reputational harm, or any intangible losses.

(y) Any claims by third parties arising from your use of our Products.

(z) Any damages that were unforeseeable at the time of purchase.

(aa) Any damages regardless of the legal theory (contract, tort, negligence, strict liability, breach of warranty, etc.).

This limitation of liability applies even if:

You purchased Products based on our recommendations or representations
You followed all instructions perfectly and correctly
You consulted healthcare professionals before use
You performed a patch test as recommended
You have no known allergies or sensitivities
The Product was used exactly as intended
The damages were severe, permanent, or life-altering
We were advised of the possibility of such damages
Any limited remedy provided in these Terms fails of its essential purpose

22.6 Maximum Aggregate Liability

In any event, if Lumairenova is found liable for any damages despite these limitations, our total aggregate liability to you for all claims arising from or related to your purchase and use of Products shall not exceed the amount you actually paid to us for the specific Product that gave rise to the claim, or fifty euros (EUR 50) / fifty US dollars (USD 50) / fifty Canadian dollars (CAD 50) / seventy-five Australian dollars (AUD 75) / eighty New Zealand dollars (NZD 80), whichever is less, converted to the currency in which you made your purchase at the exchange rate on the date of purchase.

22.7 Mandatory Statutory Rights

Nothing in these Terms of Service shall exclude or limit liability that cannot be excluded or limited under Irish law, EU law, or other applicable mandatory consumer protection laws, including but not limited to:

- Liability for death or personal injury caused by our proven negligence
- Liability for fraud or fraudulent misrepresentation
- Any other liability that cannot lawfully be excluded or limited under applicable law

For consumers within the EU: You have certain statutory rights under EU consumer protection law (including Directive 2011/83/EU on consumer rights and Directive 1999/44/EC on consumer guarantees) that cannot be excluded or limited by contract. These Terms do not affect those statutory rights.

For consumers in Ireland: You have rights under the Sale of Goods and Supply of Services Act 1980 and the European Communities (Unfair Terms in Consumer Contracts) Regulations 1995 that are not affected by these Terms.

For Australian consumers: You have rights under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) that cannot be excluded, including guarantees relating to acceptable quality, fitness for purpose, and correspondence with description. Our liability limitation provisions do not apply to the extent they would contravene the Australian Consumer Law.

For New Zealand consumers: You have rights under the Consumer Guarantees Act 1993 that cannot be contracted out of in consumer transactions. Nothing in these Terms affects those rights.

For Canadian consumers: Provincial and federal consumer protection legislation may provide you with rights that cannot be waived by these Terms, including rights under provincial Sale of Goods Acts and consumer protection statutes.

For United States consumers: Certain state laws may provide you with consumer protection rights that cannot be waived. Nothing in these Terms affects mandatory rights under applicable state law.

However, to the extent permitted by applicable law in each jurisdiction, we seek to limit our liability as set out in these Terms of Service.

SECTION 24 - INDEMNIFICATION FOR PRODUCT USE

In addition to Section 14, you agree to indemnify, defend, and hold harmless the Lumairenova Parties (as defined in Section 23) from and against any and all claims, actions, proceedings, demands, damages, losses, liabilities, settlements, judgments, costs, and expenses (including but not limited to reasonable legal fees, expert witness fees, court costs, and legal expenses) arising from, related to, or in connection with:

23.1 Product Use and Consequences

(a) Your purchase, possession, use, or misuse of any Lumairenova Products.

(b) Any adverse reactions, allergic responses, skin irritation, injury, or effects you experience from Product use.

(d) Your failure to follow instructions, warnings, or contraindications.

(e) Your failure to consult with healthcare professionals before using Products.

(f) Your failure to perform a patch test or monitor for adverse reactions.

(g) Your use of Products on broken skin, infected areas, or contraindicated conditions.

23.2 Third-Party Claims

(h) Any claims made by third parties (family members, healthcare providers, insurance companies, etc.) arising from your use of our Products.

(i) Any claims that you exposed third parties to our Products without proper warning.

(j) Any claims arising from Products you gave, sold, or provided to others.

23.3 Legal and Regulatory Violations

(k) Your violation of any applicable laws, regulations, or ordinances related to Product importation, possession, or use in your jurisdiction.

(l) Your failure to comply with customs, import, or regulatory requirements.

(m) Any misrepresentation you made during the purchase process.

(n) Your violation of any intellectual property rights related to our Products.

23.4 Specific Indemnification Scenarios

(o) Any claim that we failed to adequately warn you of risks you experienced.

(p) Any claim that our Products were defective, dangerous, or unfit for purpose.

(q) Any claim for medical expenses, lost wages, pain and suffering, or other damages arising from Product use.

(r) Any claim that you relied on our representations, descriptions, or marketing materials.

(s) Any claim arising from your sharing of Products with minors or vulnerable persons.

(t) Any claim arising from unauthorised resale or distribution of Products you purchased.

This indemnification obligation means you agree to:

Reimburse us for any legal costs we incur defending claims related to your Product use
Pay any settlements or judgments entered against us arising from your Product use
Cooperate fully with our legal defence
Not settle any claims without our prior written consent

This indemnification survives termination of these Terms and continues indefinitely.

SECTION 25 - ACKNOWLEDGMENT AND INFORMED CONSENT

You understand that results vary dramatically between individuals.

24.3 Acceptance of Risks and Responsibility

You voluntarily assume all risks associated with purchasing and using our Products.

You accept full and sole responsibility for any consequences, adverse effects, or damages arising from Product use.

You acknowledge that you are using Products entirely at your own risk.

You release Lumairenova from liability for any adverse effects you experience.

24.4 Agreement to Essential Obligations

You will read all product labels, warnings, and ingredient lists before use.

You will perform a patch test before full application.

You will consult healthcare professionals if you have any medical conditions or concerns.

You will discontinue use immediately if you experience adverse reactions.

You will not hold Lumairenova liable for any negative outcomes.

24.5 Understanding of Legal Rights

You understand that you are waiving certain legal rights by agreeing to these Terms.

You understand that these limitations may prevent you from recovering damages even if you are injured.

You understand your statutory consumer rights under Irish and EU law (where applicable).

24.6 Specific Consent for Cosmetic Products

You specifically consent to the limitations of liability in Sections 22, 23, and 24.

You specifically agree to indemnify Lumairenova as set out in Section 24.

You specifically acknowledge that cosmetic products are not medical treatments.

You specifically agree that you will not rely on us for medical advice.

If you do not agree to all of the above, do not purchase or use our Products.

Your purchase constitutes binding acceptance of these terms and creates a legally enforceable agreement.

JURISDICTION-SPECIFIC NOTICES
